Terms of use
Translation. The French version prevails.
1. Parties
The Teixa service is operated by Jomax Group SA, Route Principale 101, 1642 Sorens, Switzerland, UID CHE-255.349.938, info@jomax.ch ("the operator"). These terms apply to every business that opens a Teixa workspace ("the customer") and to its users.
Teixa is meant for businesses and other professionals for their business activity; it is not meant for consumers. The person who opens a workspace confirms that they are of age and authorised to act for the customer. Teixa is reserved for businesses that have their registered office in Switzerland and are entered there in the commercial register or the UID register. The operator may refuse or terminate a workspace opened for a business established abroad.
2. Service
Teixa is a suite of online business software (contacts, post and e-mail, quotes and invoices, accounting, time and team, documents and expenses, worksites, the Bulkit purchasing group). The operator makes the service available over the internet and runs, maintains and backs it up. The functions available depend on the subscription chosen.
2a. How the contract is concluded
- The contract is concluded when the customer fills in the sign-up form, accepts these terms and the privacy policy, and clicks "Create my workspace".
- Before sending, every field of the form can be checked and corrected; afterwards, the data is changed in the workspace settings.
- A confirmation e-mail is sent at once to the address given. It states the version of the terms accepted, the date and time of acceptance and the end of the trial.
- The terms in force remain available at this address and can be saved or printed. The date and version accepted are recorded in the workspace.
3. Trial and subscription
- Every new workspace has a free 14-day trial, without commitment.
- At the end of the trial, the workspace becomes read-only until a subscription is taken out. Without a subscription 60 days after the end of the trial, the workspace is cancelled; its data is deleted 30 days later (see section 4), after an e-mail to the administrators.
- The subscriptions and their prices are published on the Pricing page (per company and per month). A subscription is concluded when the customer orders it by e-mail to info@jomax.ch or from the app and the operator confirms it; the price published on the day of the order applies.
- Subscriptions are monthly, payable in advance, and can be cancelled by either party for the end of a month. Prices are in Swiss francs, exclusive of VAT.
3a. Payment and default
- The operator invoices the subscription at the start of each month; the invoice is payable within 30 days.
- If payment is not made when due, the operator sends a reminder. If the invoice is still unpaid 14 days after that reminder, the operator may make the workspace read-only after notice by e-mail; exporting the data remains possible. Default interest of 5% per year is due from the formal reminder (art. 102 and 104 CO).
- The customer may not set off invoices against a disputed claim.
3b. Price changes
The operator may change the prices for the start of a month by announcing it at least 60 days in advance by e-mail to the administrators and in the app. A customer who does not accept the new price may cancel for the date of the change; otherwise the new price applies.
4. Customer data
The customer remains the owner of all data entered. It can export it at any time (Settings, full export with files). After cancellation, the data is kept for 30 days and then permanently deleted, unless the law requires otherwise. The platform's backup copies are erased 12 months later at the latest (see the privacy policy).
5. Customer obligations and acceptable use
The customer is responsible for the content it enters, for managing its access rights and for informing the people whose data it processes (employees, clients, subcontractors). It keeps its passwords confidential and reports without delay any unauthorised access it notices.
It is forbidden to use Teixa for unlawful purposes; to store unlawful content or malware in it; to try to access other customers' data or to get around security measures; to test security without the operator's written consent; to overload the service (massive automated requests); to resell the service or make it available to third parties other than the customer's users.
5a. Processing of data on behalf of the customer
For the personal data the customer enters in Teixa, the customer is the controller and the operator its processor (art. 9 FADP; art. 28 GDPR where it applies). The operator processes this data only to provide the service and on the customer's instructions; it binds its staff to confidentiality; it takes appropriate security measures (encrypted connections, separation of data, backups, logging); it uses only the sub-processors listed in the privacy policy and informs the customer before adding one; it helps the customer answer requests from data subjects; it reports any data security breach to the customer without delay; at the end of the contract, it deletes the data after the period set in section 4.
The details of this processing (categories of data and data subjects, security measures, sub-processors, audits, assistance, deletion) are set out in the data processing annex (in French, which prevails), which forms part of these terms.
Sick and accident absences and medical certificates entered in Time & team are sensitive data (art. 5 let. c FADP). The customer decides whether to enter them in Teixa and informs its employees.
5b. Accounting and the customer's legal obligations
Teixa provides accounting tools (chronological journal, numbering without reuse, audit trail of changes, locking of periods and VAT returns, readable export of the books). The customer remains responsible for keeping its books properly, for its VAT returns, for keeping its books and vouchers for 10 years (art. 957 ff. CO, Accounting Records Ordinance) and for having the figures checked by its fiduciary or auditor. Before cancelling, it exports what it must keep.
5c. Artificial intelligence functions
Some functions use an artificial intelligence model (Claude, by Anthropic) to read documents or to propose texts, entries or analyses. These results can be incomplete or wrong. Fields read from a document (post, receipt, filed document) are filled in automatically and remain editable; drafts, texts and analyses are only used if a user decides so. The customer checks these results and remains responsible for what it saves, sends or declares. An administrator can switch off every AI function in the settings; nothing is then sent to the AI provider.
5d. Bulkit: group purchases
- Seller. In a Bulkit group purchase, Jomax Group SA buys the goods from the supplier and resells them to the customer in its own name and for its own account. The sales contract is concluded between the customer and Jomax Group SA; the supplier is not a party to the contract with the customer. Jomax Group SA invoices the goods with Swiss VAT.
- Order. The customer's registration for a group purchase is a firm offer for the quantity stated. It can be cancelled free of charge as long as the group purchase is not closed. The sales contract is concluded when the group purchase is closed with its target reached and Jomax Group SA confirms it by e-mail or in the app. If the target is not reached, no contract is concluded and any amount already paid is refunded in full.
- Price and payment. The unit price, VAT, delivery costs and lead time are stated in the group purchase offer. Payment is made online on registration (refunded if no contract is concluded) or on an invoice from Jomax Group SA, payable within 30 days.
- Delivery. The goods are delivered by the supplier, on behalf of Jomax Group SA, to the address given by the customer. Benefit and risk pass to the customer on handover. Announced lead times are indicative; in case of significant delay, the customer may set a reasonable additional period and then refuse delivery.
- Defects. The customer inspects the goods on receipt and reports visible defects within 8 days, hidden defects as soon as they are discovered (art. 201 CO). For defective goods, Jomax Group SA chooses to have them replaced, to reduce the price or to take them back against a refund; other claims are limited under section 7. Manufacturer warranties remain reserved.
- Price index and competition. The price index only shows anonymised purchase prices, aggregated from at least 3 distinct companies. Members do not use Bulkit to agree on their selling prices, their bids in tenders or a sharing of customers or regions (art. 5 Cartel Act). The operator may exclude a member who does so.
- Admission. Only Swiss construction businesses verified in the commercial register are admitted. The operator decides on admission and may suspend a member in case of abuse.
6. Availability
The operator aims for high availability but does not guarantee uninterrupted operation. Planned maintenance is announced in advance where possible.
6a. Suspension and termination by the operator
The operator may suspend all or part of the access, with notice by e-mail except in an emergency, if the customer does not pay (section 3a), breaches section 5, or if the security of the service or of other customers is at risk. It lifts the suspension as soon as the cause has gone. It may terminate the contract for the end of a month with 3 months' notice, or with immediate effect for good cause (in particular a serious or repeated breach of these terms, or non-payment continuing after suspension). In all cases the customer can export its data for 30 days after the end of the contract (section 4).
6b. Intellectual property
The Teixa software, its documentation and its trademarks belong to the operator or its licensors. For the term of the contract, the customer receives the non-exclusive, non-transferable right to use the service for its own needs through its users. It does not copy, decompile or create derivative works of it, except within the limits allowed by law. The customer keeps the rights to its data and content; it grants the operator the right to process them only to provide the service. The operator may freely use suggestions for improvement.
6c. Confidentiality
Each party keeps confidential the non-public information of the other that it learns under the contract, uses it only for the contract and imposes the same obligation on its staff and subcontractors. This obligation lasts 5 years after the end of the contract and does not apply to information that is already public or that a party must disclose under the law or an authority's decision.
7. Liability
The operator's liability is limited to direct damage, up to the amount paid by the customer for the service during the 12 months before the damaging event. Any liability for indirect or consequential damage, in particular lost profit and loss of data, is excluded. These limitations do not apply to intent or gross negligence (art. 100 CO), nor to personal injury.
8. Applicable law and jurisdiction
Swiss law applies. The exclusive place of jurisdiction is the operator's registered office in Sorens (canton of Fribourg), subject to mandatory places of jurisdiction under the law.
9. Changes to these terms
The operator may change these terms. It announces each new version at least 30 days before it takes effect by e-mail to the administrators and in the app, with the main changes. A customer who does not accept it may cancel for the date it takes effect; if it keeps using the service after that date, the new version applies. A change required by law or an authority may take effect earlier.
10. Miscellaneous
If a clause is invalid, the others remain valid; the invalid clause is replaced by a rule as close as possible to its purpose. Communications are made by e-mail to the addresses of the workspace and of the operator. The customer may transfer the contract to a third party only with the operator's consent.
